1. Agreement to Terms

By accessing or using the Syndy.ai website (“Site”) and services (“Services”) provided by Maetel Inc. (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Privacy Policy

Please refer to our Privacy Policy for information about how we collect, use, and disclose information from our users. Your use of the Services is subject to the Privacy Policy.

3. Eligibility and Account

You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and up to date account information.

4. Plans and Billing

Paid Services are offered on a subscription basis. Fees are billed in advance for each billing period and will renew automatically unless cancelled. By subscribing, you authorize our authorized reseller to charge your selected payment method for the applicable fees and any taxes. Receipts and invoices are issued by the reseller.

Except for the Consumer right to cancel within the initial 14 day period, fees are non refundable and services continue until the end of the current billing period after cancellation.

5. Free and Trial Access

We may offer free tiers or trials. Unless you cancel before the trial ends, your subscription will begin automatically and the applicable fees will be charged for the next billing period. Trial eligibility and duration may vary and can be changed or discontinued at any time.

6. Auto Renewal and How to Cancel

Subscriptions renew automatically at the end of each billing period. You can cancel at any time from the billing page in the app or by contacting our support team who can guide you to the reseller’s cancellation process. When you cancel, your access remains active until the end of the current billing period. After that, your access will stop.

7. Refunds and Cancellations

If you are a Consumer and unless an exception applies, you have the right to cancel this Agreement and request a refund within 14 days without providing any reason. The cancellation period will expire 14 days after the day following completion of the initial transaction.

To exercise your right to cancel, you must notify our authorized reseller of your decision. For immediate processing, please use the contact form provided on the reseller’s support page. If you use the Contact Us form, the reseller will acknowledge receipt of your cancellation request without delay.

For subscription services, this right to cancel applies only to the initial subscription and not to subsequent automatic renewals.

Nothing in this section affects any additional rights you may have under applicable consumer protection laws.

8. Taxes and Reseller

Prices may exclude taxes unless stated otherwise. Our authorized reseller is the merchant of record and is responsible for collecting and remitting applicable taxes on your purchase. You are responsible for any additional taxes or fees required by your jurisdiction.

9. Price and Plan Changes

We may change fees or plan features. Any changes to subscription fees will take effect at the start of your next billing period and we will provide reasonable advance notice. If you do not agree with the changes, you can cancel before they take effect.

10. Non Payment and Chargebacks

If a payment cannot be processed or is reversed, we may suspend or limit access to Paid Services until the issue is resolved. If you believe a charge is in error, please contact support first so we can assist. Repeated chargebacks or unpaid balances may lead to termination.

11. User Content

You retain ownership of the content you upload to the Services (“User Content”). You grant Syndy.ai a worldwide, non exclusive, royalty free license to use, store, process, and display your User Content solely to operate and improve the Services. We may use anonymized and aggregated content for analytics and development.

12. Generated Content

The Services may include AI generated content (“Generated Content”). You may use, edit, and publish such content at your discretion. Syndy.ai makes no warranties as to the accuracy, reliability, or legality of Generated Content and disclaims any liability arising from its use.

Disclaimer: Users are solely responsible for verifying and editing AI generated output before publishing or relying on it. Syndy.ai assumes no liability for errors, omissions, or outcomes related to the use of generated content.

13. Acceptable Use

You agree not to use the Services to:

• Violate laws or regulations

• Infringe third party rights

• Generate or disseminate unlawful, harmful, misleading, or abusive content

• Attempt to reverse engineer, copy, or exploit our Services

• Overload or disrupt the integrity of our systems

14. Fair Use and Limits

To protect service quality, we may apply reasonable rate limits or usage thresholds. Excessive automated requests, abusive usage, or activities that degrade service for others may result in temporary throttling or suspension.

15. Third Party Services

Syndy.ai integrates with third party services including model providers, analytics, and our authorized reseller for payments and tax handling. Your use of those services is subject to their terms and policies. We are not responsible for their availability or performance and we are not a party to your payment relationship with the reseller.

16. Termination

You may cancel your subscription at any time as described in section 6. We may suspend or terminate access for breach of these Terms, non payment, or misuse. Upon termination, access to Paid Services ends and sections that by their nature should survive will continue to apply.

17. Disclaimers

The Services are provided “as is” without warranties of any kind. We disclaim all warranties, express or implied, including fitness for a particular purpose and non infringement.

18. Limitation of Liability

To the fullest extent permitted by law, Syndy.ai is not liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Services.

19. Data Retention and Export

Upon cancellation or termination, you may export your User Content from the app while your access remains active through the end of the billing period. After access ends, we may retain backups for a limited time for legal, security, and operational reasons, after which data may be deleted or anonymized.

20. Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law principles. Any legal action shall be brought exclusively in the courts located in Seoul, Republic of Korea.
